Public Offer Agreement

Public Offer Agreement for the Provision of Information and Consultation Services

General Provisions

1.1. This document serves as the official offer (public offer) from “https://www.aspsychologist.com,” represented by Sole Proprietor Shcherbachenko Anastasiia, to the Customer (an individual or legal entity) who accepts this public offer to enter into an Agreement.

1.2. In accordance with Article 642 of the Civil Code of Ukraine, acceptance of this Offer is equivalent to entering into a bilateral written agreement on the terms outlined in the Offer, publicly available at https://www.aspsychologist.com/public-offer-agreement. By accepting these terms, an individual or legal entity accepts the offer and becomes a client (hereinafter referred to as the "Client"). Acceptance is considered to occur upon payment for the psychologist's services. The Agreement is deemed concluded and enters into force upon the funds being credited to the psychologist’s account. The Agreement has the status of an Act of Service Provision, meaning no additional acts are required to confirm the acceptance of services.

1.3. The Service Provider offers information and consultation services (hereinafter referred to as the "Services"), the content and cost of which are published on the website https://www.aspsychologist.com. The terms of provision and payment are specified in this Public Offer Agreement (hereinafter referred to as the "Agreement").

 

Subject of the Agreement

2.1. The psychologist undertakes to provide the Client with information and consultation services in the field of psychology for a fee, in accordance with the terms of this Offer. Services include individual and couple consultations, group trainings, workshops, seminars, intervisions, supervisions, webinars (conducted in-person or via telecommunication or online networks), and event recordings. The Client agrees to accept and pay for such Services under the conditions outlined in this Offer.

2.2. The Service paid for by the Client refers to the time allocated by the psychologist. The psychologist is responsible for the quality of the Services but is not responsible for the results of the Client's application of the information provided. The Client assumes full responsibility for using this information and any outcomes resulting from its use. Payment is made for the information and the psychologist's allocated time, not for specific results.

2.3. The Service Provider reserves the right to change service dates, times, costs, and the terms of this Agreement unilaterally at any time without prior agreement with the Customer.

 

Liability of the Parties

3.1. The Service Provider is not responsible for the performance quality of third parties indirectly involved in fulfilling the terms of this Agreement, such as internet providers, telecommunications operators, payment systems, landlords, etc.

3.2. The Service Provider is not liable for failure or improper performance of this Agreement's terms due to the fault of the third parties mentioned in clause 3.1. If the Service Provider fails to provide the Services on time for any reason, their liability is limited to providing the corresponding services at a new time.

3.3. The Service Provider is not responsible for how the Customer uses the information received during the provision of information and consultation services, or for the results of its use.

3.4. The Service Provider’s total liability under the Agreement, including for any claims or lawsuits arising from its execution, is limited to the cost of the Services provided.

3.5. The Customer is obliged to comply with the internal regulations of the Service Provider.

3.6. Any disputes or disagreements will be resolved through negotiations between the Parties.

Service Costs and Payment Terms

4.1. The cost of the Service Provider’s services, the list of services offered, and available payment methods are published on the website https://www.aspsychologist.com. Prices include all applicable taxes.

4.2. Payment for the Services under this Agreement is made on the basis of 100% prepayment as established in this Agreement.

4.3. The Service Provider cannot change the cost of services already paid for by a specific Customer if the Customer has accepted the Provider's terms and paid for the Services in the manner established by this Agreement.

4.4. Payment is considered completed when funds are credited to the Service Provider’s account.

4.5. The Customer is solely responsible for the accuracy of their payments.

4.6. Services are provided in full only after full payment by the Customer.

4.7. The Service Provider reserves the right to refuse to provide services if payment is not received into their account.

4.8. Payments under this Agreement are made directly to the psychologist’s account via a physical person's bank card, bank cashier services, or payment systems such as LiqPay. Service costs do not include bank fees, which are the Customer's responsibility.

 

Service Provision Procedure

5.1. The Client reserves their preferred date and time for the Service via https://www.aspsychologist.com or messengers such as WhatsApp, Telegram, or Viber. Payment must be completed within 12 hours of booking, thereby accepting the Offer. If payment is not made within this period, the reserved time becomes available for other customers.

5.2. Payment for Services must be completed at least 12 hours before the scheduled time of the Service.

5.3. Services are provided at a specific date and time for 60 minutes (+/- 5 minutes), either in-person, via online networks, or over the phone.

5.4. In case of the Client’s tardiness, the Service duration is not extended. If the psychologist is late, the Service duration is extended by the time of the delay.

5.5. If the Service is provided via internet communication and a connection is interrupted, the Service can be rescheduled at no additional charge unless at least half the session (30 minutes) was already completed, in which case the full Service fee applies.

5.6. To cancel a Service, the Client must notify the psychologist at least 24 hours before the scheduled time via messengers or phone. If the Service is prepaid, 100% of the payment is refunded upon request, and the Agreement is terminated. Cancellation less than 24 hours in advance will result in the Service being considered fully rendered and non-refundable.

5.7. To reschedule a Service, the Client must notify the psychologist at least 24 hours before the scheduled time. In this case, 100% of the prepayment is transferred toward the rescheduled Service.

5.8. If the Client is dissatisfied with the Service quality after its provision, the payment is non-refundable.

 

Rights and Obligations of the Parties

6.1. The Psychologist is obligated to:
6.1.1. Provide information and consultation services on time and in accordance with this Offer.
6.1.2. Keep confidential any information received from the Client during the provision of services that could identify the Client, except in cases stipulated by the current legislation of Ukraine, during professional supervision, or in accordance with this Offer.

6.2. The Psychologist has the right to:
6.2.1. Privacy and respect for their private life.
6.2.2. With the Client's consent, record or document the process of providing services (individual or couple consultations) to use these materials—without revealing the Client’s identity—for improving service quality through supervisory work or resolving potential conflicts.
6.2.3. Conduct photo or video recordings of their work and use the obtained materials to demonstrate their work process, improve service quality, train, or during intervisions or supervisions without requiring additional consent from the Client.
6.2.4. Terminate the provision of services without a refund in cases of inappropriate, immoral, or antisocial behavior by the Client, or if it is discovered that the Client is under psychiatric care, is legally incapacitated, is under 18 years of age (if they previously claimed to be of legal age), or violates any terms of this Offer.
6.2.5. Make changes to this Offer unilaterally without prior notice. The Client is responsible for monitoring the publication of changes on the website.

6.3. The Client is obligated to:
6.3.1. Provide complete and accurate information about themselves, including information about their health.
6.3.2. Inform the psychologist if they have received or are receiving consultations from another psychologist, psychotherapist, psychiatrist, neurologist, or neuropsychologist, or if they are or have been registered at a psychiatric clinic. They must disclose any current or past psychiatric, neurological, or cardiological diagnoses, as well as any head injuries.
6.3.3. Comply with copyright laws. The Client agrees to use any information, materials, or recommendations obtained as part of the Services solely for personal use. They are prohibited from sharing this information with third parties, reproducing, copying, or disseminating it in any form. The Client is obligated to pay for the Services in full and on time.

6.4. The Client has the right to:
6.4.1. Receive quality services and exercise all consumer rights in accordance with Ukrainian law.
6.4.2. Discontinue the provision of services at any stage. For individual or couple consultations, the Client agrees to attend one final session after notifying the psychologist of their decision to terminate services. The Client assumes full responsibility for the consequences and their psychological condition after discontinuing the Services.

 

Responsibilities of the Parties

7.1. The Client guarantees that by accepting this Offer, they have the legal right to enter into contractual relationships with the Psychologist: they are over 18 years old, do not use psychotropic, narcotic, or other psychoactive substances (including those restricted or prohibited in Ukraine), have provided accurate information about themselves, voluntarily accept the terms of the Offer, fully understand its subject and the legal consequences that may arise from it.

7.2. The Client bears sole responsibility for any physical harm caused to themselves, others, the Psychologist, or property during or between the provision of Services. In the case of intentional or unintentional damage to the office or property, the Client is obligated to cover the cost of repairs or replacement if restoration is not possible.

7.3. The Client voluntarily provides unconditional consent for the processing of personal data obtained in the course of this contractual relationship. The Psychologist is responsible for storing and processing the Client's personal data, ensuring confidentiality during processing, and using the data exclusively for the purpose of providing quality Services.

7.4. The Psychologist and the Client agree to resolve any disputes related to the provision of services through pretrial negotiation.

Term of the Agreement

8.1. This Agreement comes into effect upon acceptance by the Client and remains in force until the Parties fulfill their obligations in full. The date of acceptance is the date the Client pays for the Services.

8.2. The Agreement is considered terminated upon full performance of the Parties' obligations under its terms.
